The Governance and Nominating Committee is responsible for developing and maintaining compensation and governance principles consistent with high standards of corporate governance, and operates pursuant to the Compensation, Nominating and Corporate Governance Committee Charter of the Fund.

The Committee assists the Board in carrying out responsibilities relating to:

  • the review and oversight of the evaluation of the performance of the executives of
    the Fund;
  • compensation, including benefits, of the executives of the Fund, including compensation plans, policies and programs;
  • succession planning with respect to the executives of the Fund;
  • developing and recommending criteria for selecting new Board members and identifying and considering candidates;
  • recommending the applicable Board nominees for each annual meeings of unitholders, and making recommendations concerning membership for each committee of the Board;
  • developing appropriate corporate governance guidelines for the Fund;
  • the annual review of the Board’s performance;
  • in the case of the Committee of the Fund, advising the Board of Trustees concerning
    executive performance at the Fund’s direct subsidiary, Altus Group Ltd.; and,
  • Altus Group Ltd.

The Committee currently consists of the following Board members:
